Install the newest patch. If it still lags then upgrade your pc.

GTA4 has the reputation of being terribly demanding on PC's, particularly the processor. I got it for PC and it runs horribly no matter what i do. Apparently, upgrading to a quad is meant to make a huge difference.
Like Terak said, install the patches but also don't forget to update all your drivers and run windows update as well. If you need help with any of this then post again!
GTA IV lags on any CPU short of a very fast dual core or a decent quad core. Your CPU is the problem mate.
It does not lag on my rig. lol

if that doesn't work get a better CPU
